COMMON INTEREST COMMUNITY STANDARDS COUNCIL Governance Standard GOV-005 — Board Transition & Onboarding Standard Version: 1.5 | Effective: January 2026 | Review Cycle: Annual Authority: CICSC Governance Standards Council | Status: Current ================================================================ PURPOSE This standard establishes the minimum requirements for board leadership transitions following elections or mid-term board changes, and for the onboarding of newly seated directors. Poor board transitions are a leading cause of governance continuity failures in common interest communities. ---------------------------------------------------------------- 1. THE GOVERNANCE CONTINUITY RISK ---------------------------------------------------------------- Every unplanned or unmanaged board transition creates institutional risk: - Institutional knowledge loss when experienced directors exit without documentation - New directors acting without adequate authority understanding - Management relationships disrupted by abrupt leadership changes - Decisions made in the transition period without proper authority This standard exists to systematically mitigate that risk. ---------------------------------------------------------------- 2. PRE-TRANSITION PREPARATION (OUTGOING BOARD) ---------------------------------------------------------------- 2.1 Governance Document Package The outgoing board leadership should ensure the following are current, organized, and accessible before transition: - Current Declaration, Bylaws, Rules & Regulations (with all recorded amendments) - Copies of all current vendor contracts and management agreement - Current insurance certificates and policy documents - Current financial statements (minimum: last 12 months) - Pending litigation summary (if any -- coordinate with counsel) - Outstanding board commitments, pending decisions, and unresolved action items 2.2 Access and Credentials Transfer Before transitioning, outgoing leadership must transfer: - Association's online portal and community software access - Banking access and signature authority (coordinate with management and financial institution) - Email accounts and domain credentials - Management company access levels (updated to reflect new leadership) 2.3 Transition Memo Outgoing board president should prepare a written transition memo covering: - Status of the three to five most significant issues currently facing the board - Pending vendor negotiations or contract renewals - Ongoing member disputes or enforcement actions - Key relationship contacts (legal counsel, management, key vendors) ---------------------------------------------------------------- 3. POST-ELECTION ORGANIZATIONAL MEETING ---------------------------------------------------------------- 3.1 Timing The organizational meeting of the newly elected board should occur as soon as practicable after the annual meeting, typically within 30 days. 3.2 Organizational Meeting Agenda -- Minimum 1. Confirm quorum of the newly seated board 2. Election of officers (president, vice president, secretary, treasurer) 3. Ratification or re-execution of management agreement (if required) 4. Review and confirm authorized signatories (banking, contracts) 5. Review open action items from the prior board 6. Set regular board meeting schedule for the coming year 7. Confirm committee appointments and liaisons 3.3 Documentation The organizational meeting must be memorialized in minutes. Officer elections and signatory authorizations must be recorded. ---------------------------------------------------------------- 4. NEW DIRECTOR ONBOARDING ---------------------------------------------------------------- 4.1 Orientation Requirement Every newly seated director should receive a formal orientation covering: - The association's governance documents (Declaration, Bylaws, Rules) - The association's financial position (current balance sheet, reserve fund status, budget) - The association's insurance coverage - The management agreement and the management relationship - Current open issues and pending decisions - The board's conflict of interest policy and disclosure requirements 4.2 Recommended Orientation Timeline Week 1 Document package delivered; D&O coverage confirmed Week 1-2 Meeting with board president and manager Week 2 Review of prior 3 months of meeting minutes Week 2-3 Site walk with manager (physical property familiarization) Before first board meeting Annual conflict of interest disclosure submitted Within 60 days CIC-BOS governance education enrollment (CICSC recommendation) 4.3 CIC-BOS Foundations Recommendation CICSC recommends that all newly seated directors complete the CIC-BOS Foundations certification within their first year of service.
